These Terms of Use are here to ensure a clear, respectful, and empowering experience for everyone involved.

These Terms of Use ("Terms") govern your use of our website, platforms, and services (collectively, the "Site"). By accessing or using the Site, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site.

1. Eligibility
By using the Site, you represent that you are at least 13 years of age and capable of forming a binding contract under applicable law. If you are under 18 years of age, you may use the Site only with the involvement of a parent or guardian.

5. Submissions
Any feedback, ideas, comments, or suggestions submitted to Syndicate11 via the Site, email, social media, or other channels shall be considered non-confidential and shall become the exclusive property of Syndicate11. By submitting such materials, you grant Syndicate11 a worldwide, royalty-free, irrevocable license to use, reproduce, modify, and display such submissions for any purpose.

6. Creator Content and Rights
If you are a creator featured on or contributing to the Site, you grant Syndicate11 a non-exclusive, royalty-free, worldwide license to use your name, likeness, and submitted content in connection with event promotion, brand campaigns, and marketing materials. You affirm that you have all necessary rights to grant this license and that your content does not infringe on any third party’s rights. Content may be edited, reposted, or removed at Syndicate11’s sole discretion.

7. Brand Engagements and Third-Party Offers
Syndicate11 facilitates relationships between creators and brands. However, Syndicate11 is not liable for the accuracy, legality, or quality of third-party brand offerings. Any arrangements, agreements, or transactions between creators and third parties are solely between those parties unless Syndicate11 is explicitly named in the agreement.

8. Event Participation and Waiver of Liability
By attending or participating in any Syndicate11-sponsored event, you acknowledge and accept all risks associated with participation, including but not limited to injury, illness, or loss of property. You agree to release, indemnify, and hold harmless Syndicate11 and its affiliates from any claims arising from your attendance or participation. You further acknowledge that Syndicate11 may photograph or record the event and grant Syndicate11 the unrestricted right to use your image, likeness, and voice for promotional purposes without compensation.

9. Disclaimers
The Site and all content are provided "as is" without warranties of any kind. Syndicate11 disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Syndicate11 does not guarantee that the Site will be error-free, uninterrupted, or free of harmful components. Use the Site at your own risk.

10. Limitation of Liability
To the fullest extent permitted by law, Syndicate11 shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from or related to your use of the Site or participation in any Syndicate11-sponsored activity or event. Syndicate11’s total liability for any claim shall not exceed $500.

11. Indemnification
You agree to indemnify, defend, and hold harmless Syndicate11, its officers, directors, employees, contractors, and affiliates from any claims, losses, liabilities, damages, expenses, or costs (including reasonable attorneys’ fees) arising from your use of the Site, your breach of these Terms, or your violation of any law or third-party rights.

12. Termination
We reserve the right to suspend or terminate your access to the Site or participation in events at our sole discretion, with or without notice, for any conduct that we believe violates these Terms or is harmful to other users or Syndicate11.

13. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in New York, New York, or by binding arbitration as outlined below.

14. Arbitration and Class Action Waiver
All disputes between you and Syndicate11 shall be resolved by final and binding arbitration administered by JAMS in New York, NY. You waive your right to bring any claims in court or as part of a class or representative action. The arbitrator shall apply New York law and shall not have the authority to award punitive damages.

15. Third-Party Links and Content
The Site may include links to external websites or content not controlled by Syndicate11. Syndicate11 is not responsible for the content, practices, or availability of such sites. Use of any linked third-party websites is at your own risk.

16. Copyright Infringement Claims
If you believe content on our Site infringes your copyright, please send a written notice to accounts@syndicate11.co that includes your name, contact information, the material in question, and a statement made under penalty of perjury regarding the accuracy of your claim.

17. Miscellaneous
If any provision of these Terms is found invalid, the remaining provisions shall remain in full force and effect. These Terms constitute the entire agreement between you and Syndicate11 regarding the Site. Our failure to enforce any provision shall not constitute a waiver of such provision.
